Terms of Service

Welcome to Composie LLC (“Composie,” “we,” “our,” or “us”). These Terms of Service (“Terms”) outline how we provide our creative services, how billing works,
and what both parties agree to when you use our website, Composie.io, or our creative platform (the “Portal”).
By using our site or services, you agree to these Terms. Please read them carefully before subscribing, booking a demo, or submitting a creative request.
Overview of Services
Composie provides subscription-based creative design services for businesses and organizations. Clients can submit design requests,
receive visual proofs of work within 72 business hours, request revisions, and manage projects through the Composie Portal.
Services include graphic design, branding, UI/UX design, marketing collateral, motion design, and other creative deliverables (“Deliverables”).
We may also offer one-time contracts or hourly projects outside of subscription plans (“Custom Projects”).
Subscription Model and Workflow
Each active subscription includes one active request per pod at a time, with unlimited total requests and unlimited revisions while the subscription is active.
Visual proof of work is provided within 72 business hours per request. Larger projects may be delivered in staged proofs.
Revisions are typically completed within 24–48 hours depending on scope and plan level.
The 72-hour timeline excludes weekends and holidays.
Clients control their project queue in the Portal. The next project begins only when a prior project is marked “complete.”
3. Billing and Payments
Subscriptions are billed monthly by default, and automatically renew unless paused or canceled.
Payment can be made by credit card (processed via Stripe), wire transfer, or approved cryptocurrency payment.
If payment fails or a subscription expires, service automatically pauses until payment clears.
Subscriptions can be paused at any time. Unused days remain available for up to 6 months. After that, they expire.
No refunds are provided for services rendered or unused subscription time.
One-time projects or hourly work require a deposit or retainer before work begins. Final ownership of files transfers only after full payment is received.
Clients paying by credit card may be responsible for processing or international card fees.
4. Ownership and Usage Rights
All design drafts, concepts, and working files remain the property of Composie until full payment has been received.
Once payment is complete and the subscription is active, clients own the final delivered designs (flattened or export-ready files).
Source files (e.g., InDesign, Illustrator, Photoshop, or 3D project files) remain the property of Composie unless otherwise agreed in writing.
If a subscription ends mid-project, clients retain ownership of any files already delivered in their Portal, but Composie is not obligated to complete unfinished work.
5. Use of Client Work in Marketing
By engaging Composie, you grant permission for us to display your work, including in public and paid marketing such as ads, social media, case studies, or portfolio displays.
You may opt out of this permission by notifying us in writing before the final artwork is completed.
6. What’s Included and What’s Not
Included in your active subscription:
Unlimited design requests
Unlimited revisions (during active subscription)
Visual proof of work within 72 business hours
Access to your dedicated Composie Portal
One active request per pod at a time
Not included:
Brand strategy or marketing consulting
Printing, custom web coding, or app development
Source files unless otherwise agreed in writing
7. Client Responsibilities
Clients are responsible for:
Providing clear creative direction and timely feedback through the Portal.
Managing their own project queue (marking completed projects and adding new requests).
Ensuring payments are made before renewal dates to avoid interruption.
Creating separate user logins for each team member.
Composie is not responsible for delays caused by missing feedback or incomplete information.
8. Platform Access and Conduct
Clients and their team members must create individual logins for Portal access.
Login sharing outside your organization is not allowed.
You agree not to misuse the Portal or website in any way, including unauthorized access, hacking, scraping, or interfering with system functionality.
Composie reserves the right to suspend access for behavior that violates these Terms or impacts other clients’ experience.
9. Pausing, Cancellation, and Termination
You can pause or cancel your subscription anytime through your account or by contacting support.
When paused, any unused subscription days remain available for up to 6 months.
When canceled, any unused days or projects are forfeited.
Composie may terminate or refuse service for projects that are unlawful, unethical, offensive, or violate our brand or creative standards.
10. Intellectual Property and Portfolio Rights
Composie retains all rights to any tools, templates, systems, or creative processes developed during your projects. Clients own their final deliverables, but not the design systems,
working files, or frameworks used to produce them.
11. Limitation of Liability
Composie provides all services “as-is” and makes no guarantees of specific business outcomes or results.
We are not liable for indirect, incidental, consequential, or special damages arising from use of our services or deliverables.
Your exclusive remedy for any issue with our service is the amount you paid for the subscription or project during the month of the claim.
12. Dispute Resolution
We aim to resolve any disagreement quickly and fairly.
If a dispute arises, both parties agree to:
First attempt good-faith mediation to resolve the issue informally.
If mediation fails, proceed to binding arbitration conducted in Natrona County, Wyoming, under Wyoming law.
Both parties waive the right to trial in court or by jury.
Each party is responsible for its own legal fees, unless otherwise decided by the arbitrator.
13. Governing Law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.
Any action related to these Terms shall be brought in Natrona County, Wyoming.
14. Updates to These Terms
Composie may update these Terms occasionally to reflect new policies, technologies, or legal requirements.
We’ll post the most recent version on this page and update the “Last Updated” date above.
